Terms of Service

These Terms of Service ("Terms") govern your access to and use of Xovron, a cloud-based global automation platform operated by Joorus Inc.("Xovron", "we", "us", "our"). By creating an account, clicking "I agree", or using the service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

1. Service Description

Xovron provides AI-powered financial document extraction, approval workflow management, and accounting software integration. The service uses AI technology to assist in extracting data from documents you upload. All AI-extracted data is presented as a suggestion for human review and must be approved by an authorised user before any entry is posted to an accounting system. Xovron is a tool to assist human decision-making — it does not replace professional accounting, tax, or legal advice.

2. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and authorised to bind your organisation to these Terms. Business accounts are managed by the Account Owner who accepts responsibility for all users they invite. Owners may invite Submitters (staff who upload documents) and Managers (approvers).

3. Acceptable Use

You may only upload documents you own or have explicit authorisation to process. You must not use Xovron to process fraudulent, forged, or illegally obtained documents. You must not attempt to reverse engineer, scrape, exploit, or circumvent any part of the platform. You must not share account credentials. Violation of these rules may result in immediate account termination without refund.

4. Subscription and Billing

Subscriptions are billed monthly or annually in advance. You authorise Xovron to charge your payment method on each billing cycle date. All sales are final — no refunds are issued after a billing period begins. Failed payments result in account suspension after a 6-day grace period, followed by data deletion after 90 days. Plan limits (document counts, users) are enforced automatically. Exceeding limits requires a plan upgrade.

5. Data Ownership

You retain full ownership of all data and documents you upload. We do not claim any intellectual property rights over your content. By uploading documents you grant us a limited, non-exclusive, revocable licence solely to process them for the purpose of delivering the service. We do not sell, share, rent, or use your financial data for purposes other than operating Xovron.

6. AI Processing — Important Disclaimer

Documents uploaded to Xovron are processed by AI systems for data extraction. AI processing is inherently probabilistic and may produce errors, omissions, or incorrect values. XOVRON DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY AI-EXTRACTED DATA. You are solely and entirely responsible for reviewing, verifying, and approving all AI-extracted information before it is used for any accounting, tax, legal, or financial purpose. Reliance on unverified AI output without human review is at your sole risk. By using Xovron you expressly acknowledge this limitation and consent to AI processing of your documents.

7. Service Availability

Xovron targets 99.5% monthly uptime, excluding: (a) scheduled maintenance windows notified at least 24 hours in advance; (b) emergency maintenance required to protect security or data integrity; (c) downtime caused by third-party services (Cloudflare, Stripe, AI providers, accounting integrations); (d) internet infrastructure failures outside our control; (e) force majeure events. We make no warranty of uninterrupted service. Planned maintenance will be posted on xovron.com/status. Actual uptime history is published on our status page. Downtime does not entitle users to refunds or credits except where expressly required by applicable consumer law in your jurisdiction.

8. Data Security

We implement industry-standard security measures including AES-256-GCM encryption at rest, TLS 1.3 in transit, row-level data isolation, and access control logging. We maintain SOC 2 practices and conduct annual third-party penetration tests. Security incidents affecting your data will be disclosed within 72 hours as required by GDPR. However, no security system is impenetrable. We cannot guarantee that third parties will not gain unauthorised access. You use the service accepting this inherent risk.

9. Account Termination

You may cancel your subscription at any time via Settings > Billing. On cancellation, your account enters a 90-day read-only grace period during which you may export your data. After 90 days, all data is permanently and irreversibly deleted. Xovron may suspend or terminate accounts for breach of these Terms with 30 days notice except in cases of fraud, illegal activity, or security threats where immediate termination applies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT AI EXTRACTIONS WILL BE ERROR-FREE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) XOVRON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR AI EXTRACTION ERRORS, REGARDLESS OF THE THEORY OF LIABILITY; (b) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE FEES ACTUALLY PAID BY YOU TO XOVRON IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (ii) USD $50; (c) THESE LIMITATIONS APPLY EVEN IF XOVRON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS — IN THOSE JURISDICTIONS LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Xovron, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the service in a manner not authorised by these Terms; (c) documents you upload that infringe third-party rights or violate applicable law; (d) reliance on AI-extracted data without adequate human verification.

13. Force Majeure

Xovron shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of God, acts of government, war, civil unrest, terrorist attacks, pandemics, internet or infrastructure failures, cyberattacks, third-party service outages (including AI providers, payment processors, cloud providers), or power failures. In such events, we will resume performance as soon as reasonably practicable.

14. Governing Law and Dispute Resolution

These Terms are governed by applicable international commercial law. Any dispute shall first be attempted to be resolved by good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration under internationally recognised arbitration rules, conducted in English. Class action and collective proceedings are expressly waived. If you are a consumer in the EU or UK, mandatory consumer protection laws in your country of residence apply and are not waived by these Terms.

15. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email and in-app banner at least 30 days before taking effect. Your continued use of the service after the effective date constitutes acceptance. If you do not accept updated Terms, you must stop using the service and cancel your subscription before the effective date.
